Commercial in Confidence: Use of Ripple – Contagious Attitudes
- All materials, information and concepts within Ripple–Contagious Attitudes is commercial-in-confidence; and
- Any recipient of this software program, including any part thereof, attachment or appendix, agrees to hold all materials, information and concepts presented within Ripple – Contagious Attitudes as confidential and agrees not to reproduce or develop for client sale, reproduce for internal use, disclose, or allow use or disclosure of the program, information and concepts to unauthorized parties. This includes direct or indirect use/disclosure, irrespective of any acceptance or rejection of any related documents or related proposals, or at any time before, during or after an agreement has been reached, without the prior written consent/permission from Eclipse Leadership Group.
Collection and Use of Data
- Completing Ripple – Contagious Attitudes each time, the results will be released or accessible only to the client (Or specified ‘person’);
- The results will not be released to any other party without the consent of the client; and
- Once 5 years has passed, the results will be destroyed.
Feedback and Coaching Purposes
- Along with other sources of data the use of Ripple – Contagious Attitudes results are an indicator to assist clients to identify possible development areas for coachees in a current role(s). Eclipse Leadership Group provide feedback and coaching to coachees within the framework of current operating coaching programs, and also encourage clients to provide opportunities for feedback and discussion of their results to consider potential strengths and development actions to continue building skills and capabilities of users further in a current or future role(s).
Rating Skills (Recommended)
- Eclipse Leadership Group recommends and encourages its clients and users of Ripple – Contagious Attitudes to complete Rater Development Training skills for the most accurate results and use of the tool. In addition to support training and in the absence of training completion, Ripple Learning Video User Guides are also made available to all users of the software program.
Licensing – Accessing Ripple
- Ripple is a Software as a Service – SaaS (i.e., cloud-based) product. When purchasing Ripple and accepting the terms and conditions, you acknowledge buying it to run on your business systems (i.e., PC’s, mobile devices), and that you are accessing an application via an internet browser. Ripple has been developed as a SaaS platform operating on the internet to gather behavioural based information to assist and enable a business develop behavioural skills within a broad range of team member roles.
- For ongoing periodic users of Ripple (e.g., managers, team members), a Ripple SMS will be received to a mobile device. Included within the SMS message will be a link to click, which redirects the user straight to the People Development Platform to commence and complete Ripple (i.e., no User Name or Password access is required for ongoing users once an organisation is accessing the use of Ripple).
- As a SaaS cloud-based product, information is captured efficiently using the internet as a platform, which means results are available instantly, and results are available on-demand. Such information that is captured when measuring Culture | Leadership | Execution behaviour is available on an ongoing basis and can be reviewed across any time period that Ripple has been operational within an organisation.
- Availability of ongoing behavioural results relating to Ripple users within a business, enables the review and analysis of changing and developing behaviour across a working population (i.e., team members) to identify behavioural trends emerging, changing, and developing as a business continues to access Ripple.
Licensing – Authorised Administration Personnel
- Applicable only to authorized personnel within an organization – Upon the purchase of Ripple, a set-up process including User Name and Password Access will be made available to enable access to Ripple Administration for the provision of installing each new Instance (i.e., application of Ripple – measuring behaviour as an indicator), adding and amending Ripple user details, and reviewing and saving Ripple reports.
- Authorised administration personnel within an organisation have the authority to add, amend, and remove user details for the purposes of accessing and using Ripple within an organisation only. User details remain confidential to authorised administration personnel and are only available to authorised administration personnel within an organisation for the explicit use of Ripple for behavioural development purposes.
Licensing – Collection and Use of Data Results / Reports
- Along with other sources of data results are to assist an organization identify development areas for Ripple users (i.e., managers, team members). Purchasers of Ripple acknowledge that opportunities will be provided to the intended user(s) of Ripple to discuss and offer feedback individually regarding their individual user results, and consider development actions and/or give suggestions to build their skills further within their role.
- Using Ripple also provides understanding of systemic or organizational behavioural development. Purchases also acknowledge that the information gathered that contributes to this and when discussing such results within a team or group setting, will be referred to holistically for development purposes only so as to protect individual user information gathered.
- Each time Ripple is administered the information gathered will be available on-demand to authorized personnel only for review. Availability of Ripple reports to other parties within an organization (e.g., management, team members), will only be accessible at the discretion and approval of the authorized personnel within an organization.
- We remind you that Ripple results will not be released to any other parties outside of authorized approved parties without the consent of Ripple users (i.e., managers, team members). You also acknowledge that Ripple user responses to questions, along with hundreds of other responses may be statistically analysed to improve the questions or provide comparative data for Ripple within an organization.
Licensing – People Development Platform Content
- Included within your purchase of Ripple, Eclipse Leadership Group approved behavioural People Development Platform content has been provided to enable an automated selection of behavioural anchors, statements, and a scheduling system for management and team members. You acknowledge that should you want to modify the existing Ripple content (i.e., wording, meaning of items) that is provided as part of your purchase, you need to do so in consultation with Eclipse Leadership Group for approval of changes that may be sort.
- We remind you that should you want to add new content and/or modify existing approved Eclipse Leadership Group content within Ripple, we recommend that you do so in consultation with Eclipse Leadership Group. You also accept that without consultation with Eclipse Leadership Group you take full responsibility for new content and/or modification of existing content regarding outcomes or results from using such content.
- A function has also been provided to enable you to add items to reflect behaviour that your organization may want to measure (e.g., company values, leadership model, sales model). You also acknowledge that behavioural content your organization develops for use within Ripple is at your own discretion. You accept full responsibility for what is developed, accessed for use by Ripple users (i.e., managers, team members), and outcomes as a result of the content that has been implemented into Ripple by your organization.
Intellectual Property
- If you, the client, decide to retain our services then of course part of that retainer will involve authorising you to use those intellectual property rights, ideas and concepts and our software.
- Subject to entering into a retainer and payment by you Eclipse Leadership Group grants you a licence to use the Ripple – Contagious Attitudes software (‘software’). The software may be installed on any computer under your control or that of your current employees or personal contractors (“you”). You may use the software as intended for your purposes to generate files and integrate other software programs that will run with the software (without modification). You must keep the source code and object code confidential and not otherwise disclose it.
- You may not re-sell, sub-licence, rent, lease or transfer the software nor may you reverse engineer, decompile or disassemble the software.
- All intellectual property rights in and to the software whether in its original form or as modified from time to time are owned by Eclipse Leadership Group. You may not remove any copyright or other proprietary notices from the software.
- Ripple – Contagious Attitudes and its logo is a registered trade mark of Eclipse Leadership Group.
Limitation of Liability
- We remind you that using our programs involves you:
– making an assessment of the use and purpose for which you use our development feedback programs
– the impact of using those programs in your business or enterprise.
Under the Australian Consumer Law, several guarantees apply to the supply of certain services. These guarantees mean we are required to try to ensure that the services we supply to you:
– are rendered with due care and skill;
– are reasonably fit for any purpose which you, either expressly or by implication, make known to us;
– might reasonably be expected to achieve any result you have made known to us.
For various reasons, including that we cannot completely know how you will access, use or implement our development feedback programs in your business or enterprise we expressly limit any liability we have to you under the Australian Consumer Law or other law or statute to:
– the cost of our services actually paid by you; or
– the cost of the re-supply of our services, and without limitation we will not be liable for any special, indirect or consequential loss or damage which you may sustain howsoever arising or damage to person or property howsoever arising, whether under any statute, in contract or in tort.
By using or continuing to use or implement our development feedback programs you acknowledge and agree this limitation applies to all our dealings with you
